MCA mandates e-filing of details for new cos on ACTIVE

New Delhi, Feb 22 (KNN) Ministry of Corporate Affairs (MCA) has come up with a new Rule 25A under the Companies (Incorporation) Rules, 2014 under which a new e-form has been introduced called as Form INC-22A (ACTIVE).
The move aims to crackdown on the shell companies and mandate all forms to file details online.
According to the notification passed by MCA, Rule 25A mandates every company incorporated on or before the 31st December, 2017 shall file the particulars of the company and its registered office, in e-form ACTIVE (INC-22A) (Active Company Tagging Identities and Verification) on or before December 31, 2019.
However, companies who have not filed its due financial statement or annual return or both shall be restricted to file this form.
Also, Struck off companies, companies under the process of striking off, companies under liquidation and amalgamated or dissolved companies shall not file this e-form.
Form INC-22A shall be filed on or before April 25, 2019.
If a company has failed to file this e-form on or before April 25, 2019, the company shall be marked as “ACTIVE- non-compliant” and also SH-07 (Change in Authorized Capital), PAS-03 (Change in Paid up Capital), DIR-12 (Changes in Director except cessation), INC-22 (Change in Registered Office) and INC-28 (Amalgamation, de-merger) e-forms shall not be accepted.
Information required in furnishing this e-form are- company details, statutory and costing auditor details, KMP details, SRN of e-form AOC-4 and MGT-7 for FY 2017-18 and attachments to this e form. (KNN/JM)
